1. El servicio1. The service

NominaHQ es una plataforma en la nube para calcular y administrar la planilla en Panamá (CSS, SIPE, ISR, décimo, vacaciones, liquidaciones y archivos ACH, entre otros). Es una herramienta de apoyo: facilita los cálculos y la generación de archivos, pero la responsabilidad final del cumplimiento de las obligaciones laborales, fiscales y de seguridad social es del usuario.NominaHQ is a cloud platform to compute and manage payroll in Panama (CSS, SIPE, ISR, décimo, vacations, liquidations and ACH files, among others). It is a support tool: it facilitates calculations and file generation, but final responsibility for compliance with labor, tax and social-security obligations rests with the user.

Debes proporcionar información veraz y mantener la confidencialidad de tus credenciales. Eres responsable de la actividad que ocurra en tu cuenta. Notifícanos de inmediato cualquier uso no autorizado.You must provide accurate information and keep your credentials confidential. You are responsible for the activity in your account. Notify us immediately of any unauthorized use.

3. Prueba gratuita3. Free trial

Ofrecemos una prueba gratuita de 30 días, hasta 5 empleados, sin requerir tarjeta. Al finalizar la prueba, puedes elegir un plan de pago para continuar. Nos reservamos el derecho de modificar o terminar las condiciones de la prueba.We offer a 30-day free trial, up to 5 employees, with no card required. When the trial ends, you may choose a paid plan to continue. We reserve the right to modify or end the trial terms.

4. Planes y pagos4. Plans and payments

Los precios se publican en la página de precios y son por empleado, con facturación mensual o anual. Los pagos se procesan de forma segura con Stripe dentro de la aplicación. Los precios pueden cambiar con aviso previo razonable; los cambios no afectan el período ya facturado. Los impuestos aplicables, de existir, corren por cuenta del cliente.Prices are published on the pricing page and are per employee, billed monthly or annually. Payments are processed securely with Stripe inside the application. Prices may change with reasonable prior notice; changes do not affect the period already billed. Applicable taxes, if any, are borne by the client.

5. Cancelación y reembolsos5. Cancellation and refunds

Puedes cancelar tu suscripción cuando quieras; el servicio continúa hasta el final del período ya pagado. Salvo que la ley exija lo contrario, los montos ya pagados no son reembolsables. Podrás exportar tus datos antes de la terminación.You may cancel your subscription anytime; the service continues until the end of the period already paid. Unless required by law, amounts already paid are non-refundable. You may export your data before termination.

6. Uso aceptable6. Acceptable use

No debes usar NominaHQ para fines ilícitos, vulnerar la seguridad del sistema, acceder a datos de otros clientes, revender el servicio sin autorización, ni cargar contenido que infrinja derechos de terceros. Podemos suspender cuentas que incumplan estas reglas.You must not use NominaHQ for unlawful purposes, breach system security, access other clients' data, resell the service without authorization, or upload content that infringes third-party rights. We may suspend accounts that violate these rules.

7. Tus datos y responsabilidad7. Your data and responsibility

Los datos que cargas (incluidos los de tus colaboradores) siguen siendo tuyos. Eres responsable de su exactitud y de tener la base legal para tratarlos. Nosotros los tratamos como encargado, conforme a nuestra Política de Privacidad y a la Ley 81 de 2019. Mantenemos los datos aislados por empresa.The data you upload (including your employees' data) remains yours. You are responsible for its accuracy and for having a legal basis to process it. We process it as a processor, per our Privacy Policy and Law 81 of 2019. We keep data isolated per company.

8. Propiedad intelectual8. Intellectual property

El software, la marca NominaHQ, el diseño y el contenido del sitio son propiedad de P4 Software o de sus licenciantes. Te otorgamos una licencia limitada, no exclusiva e intransferible para usar el servicio durante la vigencia de tu suscripción.The software, the NominaHQ brand, the design and the site content are owned by P4 Software or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the service during your subscription term.

9. Disponibilidad y garantías9. Availability and warranties

Trabajamos para mantener una alta disponibilidad del servicio (objetivo de 99.9%), pero el servicio se presta "tal cual" y "según disponibilidad", sin garantía de que sea ininterrumpido o libre de errores. Podemos realizar mantenimientos programados. Las tasas y reglas de cálculo se actualizan con la mejor información disponible, pero no sustituyen la asesoría de un contador o abogado.We work to maintain high service availability (99.9% target), but the service is provided "as is" and "as available," with no warranty that it will be uninterrupted or error-free. We may perform scheduled maintenance. Rates and calculation rules are updated with the best available information but do not replace the advice of an accountant or attorney.

10. Limitación de responsabilidad10. Limitation of liability

En la máxima medida permitida por la ley, P4 Software no será responsable por daños indirectos, incidentales o lucro cesante. Nuestra responsabilidad total, de existir, se limita al monto que hayas pagado por el servicio en los doce meses anteriores al hecho que origine el reclamo.To the maximum extent permitted by law, P4 Software shall not be liable for indirect, incidental or consequential damages or lost profits. Our total liability, if any, is limited to the amount you paid for the service in the twelve months prior to the event giving rise to the claim.

11. Terminación11. Termination

Puedes terminar tu cuenta cuando quieras. Podemos suspender o terminar el servicio por incumplimiento de estos términos o por falta de pago, con aviso razonable cuando sea posible. Tras la terminación podrás exportar tus datos durante un período razonable.You may terminate your account anytime. We may suspend or terminate the service for breach of these terms or non-payment, with reasonable notice where possible. After termination you may export your data for a reasonable period.

12. Ley aplicable12. Governing law

Estos términos se rigen por las leyes de la República de Panamá. Cualquier controversia se someterá a los tribunales competentes de la Ciudad de Panamá, salvo que la ley disponga otra cosa.These terms are governed by the laws of the Republic of Panama. Any dispute shall be submitted to the competent courts of Panama City, unless the law provides otherwise.
